Rules for the Drawing of February 14, 2006

1. Sweepstakes Description / How to Enter:
   No purchase necessary. To participate in the MySweepstakes.com sweepstakes (the "Sweepstakes"), you must register at MySweepstakes.com and remain a member in good standing throughout the duration of the Sweepstakes. A maximum of one online entry per week per person is permitted. In order to enter, the entrant's email address, first name and last name must be provided to MySweepstakes.com. Those persons who wish to enter the Sweepstakes by regular mail may do so by sending a 3" x 5" card with their full name and email address to: MySweepstakes.com, c/o Sweepstakes Entry, Woods Mall Friars Hill Rd., P.O. Box W783, St. John's, Antigua. Mail entries must be received by February 7, 2006. Mail-in entrants are limited to a maximum of one entry per month during the Sweepstakes. Any additional entries received will be discarded. Any mail-in entry improperly dated will be disqualified. Any mail-in entry that is illegible, incomplete, late or does not carry proper postage will be disqualified.
   
   
2. Sweepstakes Period:
   The Sweepstakes begins at 6:00 PM ET on Tuesday, March 1, 2005 and ends at 6:00 PM ET on Tuesday, February 14, 2006.
   
   
3. Grand Prize:
   The Sweepstakes Grand Prize winner will have the choice of one of the following Grand Prizes:

   1) A new 2005 Volkswagen Beetle GLS (color is subject to availability, approximate retail value $18,000.00 USD); OR

   2) $20,000.00 USD.

   However, if the Grand Prize winner resides outside of North America, MySweepstakes.com reserves the right to determine which Grand Prize is to be awarded.
   
   The Sweepstakes Grand Prize winner will be selected in a random drawing to be conducted on Tuesday, February 14, 2006 from all eligible online and mail-in entries received. The random drawing will be conducted under the supervision of MySweepstakes.com, whose decisions are final. Odds of winning depend on the number of eligible entries received. The Grand Prize winner will be notified by email message within seven (7) days following the drawing date. The Grand Prize winner must send confirmation by replying to the notification email within 24 hours of the notification email being sent by MySweepstakes.com. Within 48 hours of replying to the notification email, the Grand Prize winner will also be required to submit valid identification (including a digitized photograph), execute a liability/publicity release and correctly answer a mathematical skill-testing question. Failure to comply with any of these requirements within the stipulated time periods will result in disqualification and awarding of the Grand Prize to an alternate winner randomly chosen.
   
   

4. Monthly Prizes:
   MySweepstakes.com reserves the right, in its unfettered discretion, to award one or more monthly prizes during the Sweepstakes period (the "Monthly Prizes"). The time for the random drawing of any Monthly Prizes shall be within the sole discretion of MySweepstakes.com and shall be conducted under the supervision of MySweepstakes.com, whose decisions are final. Odds of winning a Monthly Prize depend on the number of eligible entries received. Any Monthly Prize winners will be notified by email message within seven (7) days following the drawing date. Monthly Prize winners must send confirmation by replying to the notification email within 48 hours of the notification email being sent by MySweepstakes.com. Monthly Prize winners will also be required to submit valid identification, including a digitized photograph, to MySweepstakes.com within three 48 hours following confirmation by said Monthly Prize winner. Failure to comply with these time periods will result in disqualification and awarding of the Monthly Prize to an alternate winner randomly chosen. You may win only one Monthly Prize. However, Monthly Prize winners are still eligible to win the Grand Prize.
   
   
5. Eligibility:
   This Sweepstakes is void where prohibited by law. Employees of MySweepstakes.com, their affiliates, subsidiaries, advertising and promotional agencies and the immediate family members of each or persons living in the same household of each are not eligible. Residents of the Province of Quebec are not eligible. The Sweepstakes is restricted to individuals of legal age of majority as determined in the jurisdiction in which the individual resides. You cannot enter under any circumstances if you are not at least eighteen years of age.
   
   
6. General Conditions:
   
   1. No purchase is necessary to enter the Sweepstakes.
      
      
   2. MySweepstakes.com is a trademark, service mark, and trade name of Phantom Inc.
      
      
   3. To remain a member in good standing, the entrant must accept all mailings from MySweepstakes.com throughout the duration of the Sweepstakes. From time-to-time during the Sweepstakes, MySweepstakes.com may also send surveys by email to entrants. Entrants must fully complete and respond to the surveys within ten (10) days of receipt. Any failure to properly respond to a survey or to accept an email will result in the automatic disqualification of the entrant from the Sweepstakes. Communications from MySweepstakes.com generally update and advise entrants of new games, events, services, and benefits. MySweepstakes.com may contact entrants in the future with offers that it feels may be of interest. Communications from entities selected by MySweepstakes.com may contain valuable information, exclusive coupons, as well as exciting offers. If you do not wish to receive these mailings, you may unsubscribe. By unsubscribing from MySweepstakes.com, you will be removing yourself from the Sweepstakes: you will no longer be eligible to win the Grand Prize or any Monthly Prizes.
      
      
   4. MySweepstakes.com contains links to Web sites on the Internet, which are owned and operated by third parties. MySweepstakes.com is not responsible for the availability of, or the content located on or through, any such third party Web site.
      
      
   5. All information will be kept confidential - personally identifiable information on individual entrants will not be sold or otherwise transferred to unaffiliated third parties.
      
      
   6. By entering, each entrant accepts and agrees to be bound by these Official Rules and by the decisions of MySweepstakes.com, which shall be final and binding in all respects.
      
      
   7. Taxes and duties, if any, are the sole responsibility of the Grand Prize winner or any Monthly Prize winner.
      
      
   8. Delivery of the Grand Prize or any Monthly Prize may take up to eight (8) weeks after all of the required documentation is provided to MySweepstakes.com by the winner.
      
      
   9. No substitution or transfer of prizes permitted.
   10. Entrants agree to allow MySweepstakes.com the use of their names and/or likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.
       
       
   11. All federal, state, provincial, territorial and local laws and regulations apply.
       
       
   12. MySweepstakes.com is not responsible for lost, late or misdirected online entries, for incorrect, inaccurate or incomplete entry information whether caused by an entrant or an equipment or technical malfunction or for any technical error or malfunctions or clerical errors. MySweepstakes.com is not responsible for typographical or other errors in the offer or administration of this Sweepstakes, including but not limited to errors in advertising, the Official Rules, the selection and announcement of the Grand Prize winner or Monthly Prize winners or the distribution of the prizes.
       
       
   13. MySweepstakes.com reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.
       
       
   14. MySweepstakes.com reserves the right to cancel this Sweepstakes at any time for any reason whatsoever without obligation or prior notice.
       
       
   15. By entering, entrants release and hold harmless MySweepstakes.com, their respective parents, subsidiaries, affiliates, directors, officers, employees and agents from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this Sweepstakes, including but not limited to, the acceptance, possession or use of any prize won.
       
       
   16. Entrants may not enter with multiple email addresses nor may entrants use any other device or artifice to play multiple times or as multiple entrants, other than as permitted by these Official Rules. Any entrant who attempts to enter with multiple email addresses under multiple identities or uses any device or artifice to enter multiple times will be disqualified. Any entrant who attempts to circumvent the terms and conditions of these Official Rules in any manner or who tampers with the entry process in any way will also be disqualified.
       
       
   17. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, PHANTOM INC. RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
       
       
   18. In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the email address submitted at time of entry. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access provider, on line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
       
       
7. Internet:
   MySweepstakes.com assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. MySweepstakes.com is not responsible for any problems or technical malfunction of any telephone network or lines, computer on line systems, servers, or providers, computer equipment, software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from entry in the Sweepstakes or downloading any materials in relation to the Sweepstakes.
   
   
8. Winners List:
   The name of the Grand Prize winner and any Monthly Prize winners will be posted on the MySweepstakes.com Web site and may appear in MySweepstakes.com newsletters or other publications.
